These Terms & Conditions of Sale (“Terms”) govern all quotations, purchase orders, sales, shipments, products, cable assemblies, wire harnesses, services, and related transactions between Electronic Expeditors Inc. (“Electronic Expeditors,” “EE,” “we,” “our,” or “us”) and the purchasing party (“Customer” or “you”).
By placing a purchase order, signing a quote, or otherwise transacting with Electronic Expeditors Inc., the Customer agrees to be bound by these Terms. These Terms supersede any conflicting terms contained in the Customer’s purchase order or other documents, unless expressly agreed to in writing by an authorized representative of Electronic Expeditors Inc.
- Quotations
All quotations are valid for thirty (30) days from the date of issuance unless otherwise stated in writing. Pricing, lead times, and product availability are subject to change based on supplier and manufacturer conditions and are not guaranteed until a purchase order is accepted by Electronic Expeditors Inc.
For custom cable assemblies and wire harnesses, pricing and lead time are determined by specifications, materials, component availability, and assembly complexity. Final pricing and lead times will be confirmed at the time of written order acceptance.
- Minimum Order and Line Item Charges
A minimum order charge of $25.00 per line item may apply to orders below the stated minimum. Non-stock items, custom assemblies, and products subject to manufacturer minimums may require additional minimum purchase quantities. These requirements will be disclosed at the time of quotation.
- Order Acceptance
All orders are subject to acceptance by Electronic Expeditors Inc. We reserve the right to accept or reject any order based on availability, supplier confirmation, payment approval, credit status, or technical feasibility. An order is deemed accepted only upon Electronic Expeditors Inc.’s written acknowledgment or confirmation.
If Electronic Expeditors Inc. does not issue a written rejection within five (5) business days of receiving a purchase order, the order shall not be deemed accepted by default; Customer should follow up to confirm acceptance.
- Prices
All prices are stated in U.S. dollars and are exclusive of all federal, state, and local taxes, sales taxes, use taxes, shipping, handling, freight, duties, tariffs, and insurance, unless explicitly stated otherwise in the quotation or order confirmation. Any applicable taxes or fees will be added to the invoice and are the sole responsibility of the Customer.
- Payment Terms
For customers with approved credit accounts, standard payment terms are Net 30 days from the invoice date. Electronic Expeditors Inc. reserves the right to modify or revoke credit terms at any time based on payment history or creditworthiness.

- ACH (Automated Clearing House)
Customers without approved credit terms may be required to remit payment in full prior to shipment. Invoices not paid within terms may be subject to a late payment charge of 1.5% per month (18% per annum) or the maximum rate permitted by applicable law, whichever is less. Electronic Expeditors Inc. reserves the right to place accounts on hold and suspend fulfillment for overdue balances.
- Shipping, Delivery, and Risk of Loss
Unless otherwise agreed in writing, all shipments are made FOB Origin (Electronic Expeditors Inc.’s facility). Title to products and risk of loss or damage transfer to the Customer upon tender of the goods to the carrier at the point of shipment. Electronic Expeditors Inc. is not responsible for loss, damage, or delay occurring after delivery to the carrier.
Shipping charges, freight, insurance, and handling costs are the responsibility of the Customer unless otherwise agreed in writing. Delivery dates provided are estimates only and may be affected by supplier delays, transportation conditions, or material availability. Electronic Expeditors Inc. shall not be liable for delays in delivery.
Electronic Expeditors Inc. reserves the right to make partial shipments unless the Customer has expressly requested otherwise in writing at the time of order placement. Each partial shipment may be invoiced separately.
- Order Cancellation
Cancellation requests must be submitted in writing and are subject to acceptance by Electronic Expeditors Inc. Cancellations are not guaranteed and depend on the stage of order processing.
For standard stocked products, cancellation may be accepted prior to shipment subject to a restocking or handling charge as determined by Electronic Expeditors Inc. at its sole discretion.
For custom cable assemblies, wire harnesses, special orders, non-stock items, and NCNR (Non-Cancelable / Non-Returnable) items, cancellation is not permitted once an order has been accepted and production or procurement has commenced. In such cases, the Customer shall be liable for all costs incurred by Electronic Expeditors Inc. up to the point of cancellation, including but not limited to materials, labor, and supplier commitments, up to the full order value.
- Return Policy
Products may not be returned without prior written authorization from Electronic Expeditors Inc. and a valid Return Material Authorization (RMA) number issued by Electronic Expeditors Inc. Unauthorized returns will not be accepted and may be returned to the Customer at the Customer’s expense.
The following items are generally not eligible for return:
- Custom cable assemblies and wire harnesses manufactured to Customer specifications
- Non-stock, special-order, or configured products
- NCNR (Non-Cancelable / Non-Returnable) items as designated by the manufacturer or supplier
- Products that have been installed, used, altered, or damaged
- Products returned without original packaging
Exceptions may be made at the sole discretion of Electronic Expeditors Inc. for defective or incorrectly shipped products. Approved returns must be shipped prepaid by the Customer and received within the timeframe specified in the RMA.
Restocking fees for approved returns will be assessed on a case-by-case basis and communicated to the Customer at the time of RMA issuance, taking into account product type, condition, restocking costs, and supplier requirements.
- Warranty
Electronic Expeditors Inc. does not independently warrant products sold or assembled under these Terms. For distributed components and electro-mechanical products, any applicable warranty is that of the original manufacturer or supplier, and Electronic Expeditors Inc. will use commercially reasonable efforts to pass through such manufacturer warranty coverage to the Customer, to the extent assignable.
ELECTRONIC EXPEDITORS INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT AS EXPRESSLY PROVIDED IN WRITING BY AN AUTHORIZED REPRESENTATIVE OF ELECTRONIC EXPEDITORS INC.
The Customer’s sole remedy for any warranty claim shall be limited to the remedies provided by the applicable manufacturer or supplier. Electronic Expeditors Inc. shall have no liability for warranty claims arising from misuse, abuse, improper installation, unauthorized modification, use outside of rated specifications, or failure to follow product documentation or instructions.
Note: Customers requiring specific warranty coverage for cable assemblies or wire harnesses should contact Electronic Expeditors Inc. prior to order placement to discuss available options.
- Limitation of Liability
IN NO EVENT SHALL ELECTRONIC EXPEDITORS INC. BE LIABLE TO THE CUSTOMER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS, THE SALE OR USE OF PRODUCTS, OR ANY SERVICES PROVIDED, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELECTRONIC EXPEDITORS INC.’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO ANY ORDER, PRODUCT, OR SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY THE CUSTOMER TO ELECTRONIC EXPEDITORS INC. FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, the limitations above shall apply to the maximum extent permitted by law.
- Indemnification
The Customer agrees to defend, indemnify, and hold harmless Electronic Expeditors Inc. and its officers, directors, employees, agents, and suppliers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- The Customer’s misuse, improper installation, or modification of any product
- The Customer’s incorporation of products into downstream assemblies, systems, or finished goods
- Any breach of these Terms by the Customer
- Any claim by a third party arising from the Customer’s use or distribution of products purchased from Electronic Expeditors Inc.
- Intellectual Property and Confidentiality
Any designs, drawings, specifications, technical data, or proprietary information submitted by the Customer to Electronic Expeditors Inc. for the purpose of manufacturing custom cable assemblies or wire harnesses (“Customer Materials”) shall remain the sole property of the Customer. Electronic Expeditors Inc. will treat Customer Materials as confidential and will not disclose them to third parties except as necessary for manufacturing, procurement, or fulfillment of the Customer’s order.
Likewise, any proprietary processes, pricing, supplier relationships, assembly methods, or technical know-how of Electronic Expeditors Inc. disclosed to the Customer in the course of business shall be treated as confidential by the Customer and shall not be disclosed to any third party without prior written consent.
Neither party acquires any intellectual property rights of the other party under these Terms except for the limited rights expressly necessary to fulfill the applicable order.
- Force Majeure
Electronic Expeditors Inc. shall not be in default or liable for any delay or failure in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions or regulations, import/export restrictions, trade embargoes, supplier or manufacturer shortages, transportation failures, labor disputes, strikes, power outages, cyberattacks, or component allocation constraints.
In the event of a force majeure condition, Electronic Expeditors Inc. will provide prompt written notice to the Customer and will use commercially reasonable efforts to resume performance as soon as practicable. Extended force majeure events of ninety (90) days or more may entitle either party to terminate the affected order without liability, subject to payment for work completed to date.
- Governing Law, Venue, and Dispute Resolution
These Terms and all transactions governed by them shall be construed in accordance with and governed by the laws of the State of Wisconsin, without regard to its conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms, any order, product, or service provided by Electronic Expeditors Inc., or the breach, termination, or validity thereof, shall be resolved exclusively through litigation. The exclusive venue for any such legal proceeding shall be the state or federal courts of competent jurisdiction located in Milwaukee County, Wisconsin. Both parties irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue in Milwaukee County.
In any dispute or legal proceeding arising from these Terms, each party shall be responsible for its own attorneys’ fees, costs, and expenses, unless otherwise awarded by a court of competent jurisdiction.
- Compliance with Laws and Export Controls
The Customer agrees to comply with all applicable federal, state, and local laws and regulations in connection with the purchase and use of products, including but not limited to export control laws and regulations administered by the U.S. Department of Commerce and U.S. Department of State. The Customer represents that it will not export, re-export, or transfer any products to prohibited countries, entities, or individuals in violation of applicable law.
- Entire Agreement; Order of Precedence
These Terms, together with any written quotation or order acknowledgment issued by Electronic Expeditors Inc., constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, negotiations, and representations, whether written or oral.
In the event of a conflict between these Terms and any purchase order or other document submitted by the Customer, these Terms shall control unless a specific exception has been expressly agreed to in writing by an authorized representative of Electronic Expeditors Inc. Electronic Expeditors Inc.’s failure to object to conflicting terms in a Customer’s purchase order shall not constitute acceptance of or agreement to such terms.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
- Modifications to These Terms
Electronic Expeditors Inc. reserves the right to update or modify these Terms at any time. The version of these Terms in effect at the time an order is placed shall govern that transaction. Updated Terms will be posted at www.ee-usa.com with a revised effective date.
